Terms of Service

These Terms of Service govern your use of IssueLedger. By creating an account or using the service, you agree to these terms. If you do not agree, do not use IssueLedger. Questions: legal@issueledger.com.

1. Acceptance of Terms

By accessing or using IssueLedger — whether as a landlord account holder or as a tenant submitting an issue via a shared link — you agree to be bound by these Terms of Service and our Privacy Policy and Disclaimer, which are incorporated herein by reference. If you are using IssueLedger on behalf of a business or organization, you represent that you have authority to bind that entity to these terms, and these terms apply to that entity.

These terms apply to all users of the service, including landlords and any person who submits content through a tenant submission link.

2. Description of Service

IssueLedger is a cloud-based property documentation platform that allows landlords to create, manage, and export timestamped records of maintenance issues, vendor activity, and unit condition. Core features include:

  • Timestamped issue tracking by property and unit
  • Photo uploads with SHA-256 hash records and S3 Object Lock where configured
  • Tenant submission links that allow tenants to report issues without creating an account
  • PDF export of issue records and maintenance history
  • Magic-link authentication (no password required)

IssueLedger is a documentation tool. It is not a licensed property management system, a certified legal records platform, a legal filing system, or a substitute for professional legal or property management advice. Nothing produced by IssueLedger constitutes legal advice. See our Disclaimer for the full scope of what the service is and is not.

IssueLedger is not your sole archive, legal file, or system of record. You are responsible for keeping independent copies of original photos, videos, messages, notices, invoices, communications, and PDF exports outside IssueLedger.

3. Accounts and Eligibility

Eligibility

You must be at least 18 years old to create an account or use IssueLedger. By using the service, you represent that you meet this requirement. We do not knowingly provide services to anyone under 18.

Account registration

To create an account, you must provide a valid email address. IssueLedger uses magic-link authentication — we send a sign-in link to your email each time you log in. No password is stored. You are responsible for maintaining access to your email account. IssueLedger is not liable for any loss resulting from unauthorized access to your account caused by a failure to secure your email.

Account accuracy

You agree to provide accurate information when registering and to keep it current. You may not impersonate another person or create accounts for the purpose of deception.

Account security

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at legal@issueledger.com.

4. Landlord Accounts

A landlord account is the primary account type. The landlord account holder is the contracting party for subscription purposes and bears ultimate responsibility for the account, its content, and any tenant submissions associated with it.

As a landlord, you may:

  • Add properties and units to your account
  • Generate tenant submission links for individual units
  • Export records as PDF
  • Configure S3 Object Lock retention settings for uploaded files

You are responsible for the accuracy of property and unit information you enter, for informing tenants that their submissions are recorded, and for any use you make of exported records.

5. Current User Roles

IssueLedger V1 supports landlord accounts and unauthenticated tenant submissions through landlord-generated submission links. Dedicated tenant accounts, property manager accounts, and role-based invitations are not included in the current public service and may be added in a later release under updated terms.

6. Tenant Submissions

A landlord may generate a unique submission link for a unit and share it with tenants. When a tenant submits an issue through that link:

  • The tenant does not create an IssueLedger account
  • The submission is stored as a record in the landlord's account, under the relevant unit
  • The tenant's submission (description, photos, timestamp, access preference) is owned by and visible to the landlord
  • IssueLedger does not verify the identity of tenant submitters or the accuracy of their submissions

By sharing a tenant submission link, the landlord agrees to: (a) inform tenants that their submissions will be recorded and stored, and (b) use tenant submissions only for legitimate property management purposes. Tenants who submit via a shared link agree that their submission will be stored under the landlord's account and used for maintenance documentation purposes. Tenants may request deletion of their submission by contacting the landlord account holder; the landlord may forward verified deletion requests to us and we will honor them.

Landlords are solely responsible for ensuring that their use of tenant submission links complies with applicable landlord-tenant law, including any notice or consent requirements in their jurisdiction.

7. Acceptable Use

You may use IssueLedger only for lawful purposes and in accordance with these Terms. You agree not to:

  • Enter false, misleading, or fraudulent information into any record
  • Use the service to harass, intimidate, or retaliate against tenants
  • Submit content that violates any applicable law or third-party rights, including privacy rights
  • Attempt to gain unauthorized access to any account, system, or data not belonging to you
  • Use automated means (bots, scrapers, crawlers) to access the service without our written consent
  • Introduce viruses, malware, or other harmful code
  • Circumvent, disable, or interfere with security features of the service
  • Resell, sublicense, or offer the service commercially to third parties without our written consent
  • Use the service in any way that could damage, disable, or impair the service or its infrastructure

We reserve the right to suspend or terminate any account that we reasonably believe is being used in violation of these terms, without notice if necessary to protect the service or other users.

8. Content and Data Ownership

Your content

All property data, issue descriptions, photos, notes, vendor information, and other content you submit to IssueLedger ("Your Content") remains your property. You grant IssueLedger a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the service to you. We do not claim ownership of Your Content and do not use it for any purpose beyond operating and improving the service as described in our Privacy Policy.

Your responsibility for content

You are solely responsible for Your Content and for verifying any record or export before relying on it. You represent and warrant that: (a) you have all rights necessary to submit Your Content to the service; (b) Your Content does not violate the rights of any third party, including privacy, intellectual property, or contractual rights; and (c) Your Content is accurate to the best of your knowledge.

Content we may remove

We reserve the right, but not the obligation, to review and remove any content that we determine, in our sole discretion, violates these terms or applicable law. We will not be liable to you for any removal of content that violates these terms.

9. File Uploads and Hash Verification

When you upload a file to IssueLedger, the service computes and stores a SHA-256 cryptographic hash of the file at the time of upload. This hash can subsequently be used to verify that the file has not been altered since it was received by our servers.

You understand and acknowledge that:

  • Hash verification confirms only that a file has not changed since upload — it does not verify the content, accuracy, or authenticity of the file, or who took a photo or when an event actually occurred
  • Timestamps on uploads reflect the time our servers received the file, not necessarily the time of the underlying event
  • S3 Object Lock settings, where configured, are a storage control and not a promise that any record will be available forever, accepted by a third party, or immune from service errors, account issues, outages, or export failures
  • The evidentiary weight, admissibility, and legal effect of any uploaded file or its associated hash is determined by courts, arbitrators, and applicable law — not by IssueLedger

IssueLedger makes no representation that files uploaded to the service will be accepted in any legal proceeding. You should retain the original files and communications from their original sources and compare important exports against your own records before using them.

10. Subscription and Payment

Plans and pricing

IssueLedger offers subscription plans as described on our pricing page. Prices are quoted in US dollars and are subject to change with reasonable notice.

Billing

Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. By subscribing, you authorize us (or our payment processor) to charge your payment method on the applicable billing cycle. You are responsible for keeping your payment information current.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused portions of a billing period, except where required by applicable law or at our sole discretion.

Free trial and promotional offers

We may offer free trials or promotional pricing from time to time. Any such offer will be subject to the specific terms stated at the time of the offer. At the end of a free trial, you will be charged the standard rate unless you cancel before the trial period ends.

Taxes

Subscription fees do not include applicable taxes. You are responsible for any sales, use, GST, VAT, or similar taxes associated with your use of the service.

11. Data Retention and Export

You may export your data in PDF format using the export feature. You are responsible for promptly downloading, reviewing, and storing copies of any records you need outside IssueLedger. If you require data export in other formats, contact us at legal@issueledger.com and we will make reasonable efforts to accommodate the request, but we do not guarantee that any particular export format will be available.

Account data, issue records, audit records, and files are retained or deleted according to our operational retention rules, legal obligations, payment status, storage controls, and account status. Files stored in S3 with Object Lock may be subject to retention periods and cannot be deleted before the applicable retention period expires, even after account closure. After account closure, retained files may no longer be accessible through the service.

IssueLedger uses backup and retention controls to reduce the risk of accidental loss, but no online service can guarantee uninterrupted access, successful export, or preservation of every record forever. You should keep independent backups of originals and exported PDFs.

12. Termination

Termination by you

You may close your account at any time by contacting us at legal@issueledger.com. Upon closure, you will lose access to all records, files, and exports stored under your account, subject to any retention obligations described in these terms and our Privacy Policy.

Termination by us

We may suspend or terminate your account, with or without notice, if: (a) you materially breach these Terms of Service; (b) we are required to do so by law; (c) you fail to pay applicable subscription fees; or (d) we determine that your account poses a risk to other users or to the service. We will provide reasonable notice of termination where practicable, except in cases involving fraud, illegal activity, or security threats.

Effect of termination

Upon termination, your right to use the service immediately ceases. You may lose access to records, files, and exports stored under your account, subject to any retention obligations described in these terms and our Privacy Policy. Sections of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, limitation of liability, and indemnification) will survive.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that affect your ability to access your data. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ISSUELEDGER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the service will be uninterrupted, error-free, secure, or available at any particular time; (b) any records, exports, files, hashes, timestamps, notifications, or backup processes produced by the service will be accurate, complete, preserved, recoverable, exportable, or suitable for any particular purpose; (c) any defects will be corrected; or (d) the service or the servers that make it available are free of viruses or other harmful components.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISSUELEDGER AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF RECORDS, LOSS OF PHOTOS OR FILES, FAILED OR INCOMPLETE EXPORTS, SERVICE DOWNTIME, SECURITY INCIDENTS, LOSS OF REVENUE OR PROFITS, ADVERSE LEGAL OUTCOMES, SECURITY DEPOSITS WRONGLY WITHHELD OR RETURNED, OR BUSINESS INTERRUPTION — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO ISSUELEDGER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless IssueLedger and its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) any content you submit to the service; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any dispute between you and a tenant, co-landlord, property manager, or any other third party arising from your use of the service.

17. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the service shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction and venue of such courts and waive any objection on the grounds of inconvenient forum.

Notwithstanding the foregoing, IssueLedger may seek injunctive or other equitable relief in any jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.

18. General Provisions

Entire agreement

These Terms of Service, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and IssueLedger with respect to the service and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver of any specific breach will not constitute a waiver of any subsequent breach.

Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, with notice to you.

No third-party beneficiaries

These Terms do not create any third-party beneficiary rights.

19. Changes to These Terms

We may update these Terms of Service from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. If we make material changes that affect your rights, we will notify you by email before the changes take effect. Your continued use of the service after the effective date of revised Terms constitutes your acceptance of those terms. If you do not agree to the revised terms, you must stop using the service.
